API Terms of Use

1. Acceptance of API Terms

These API Terms of Use ("API Terms") govern your access to and use of the application programming interface ("API") and related developer tools, documentation, and SDKs provided by Pawreel ("we", "us", or "our"), an independent online business based in British Columbia, Canada. The API enables developers and businesses to programmatically generate AI-created short-form animal videos ("animal shorts") and related media.

By requesting API credentials, calling the API, or otherwise accessing it, you agree to be bound by these API Terms together with our Terms & Conditions and Privacy Policy. In the event of a conflict between these API Terms and the Terms & Conditions with respect to the API, these API Terms control. If you do not agree, you must not access or use the API.

2. API Access and License

Subject to your continued compliance with these API Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the API solely to develop, test, and operate applications, websites, or services that integrate with the Service ("Your Application").

Access requires valid API credentials issued by us. We may modify, suspend, restrict, or revoke your access to the API at any time, with or without notice, including for the reasons set out in these API Terms.

3. API Keys and Security

  • API keys, tokens, and secrets are confidential. You must store them securely, never embed them in client-side code or public repositories, and never share them with unauthorized parties.
  • You are responsible for all activity that occurs under your API credentials, whether authorized by you or not.
  • You must notify us immediately if you suspect that any API key or credential has been lost, stolen, or compromised, and rotate the affected credentials without delay.
  • We may rotate, revoke, or require you to rotate credentials at any time for security or operational reasons.

4. Acceptable Use

You agree not to use the API, directly or through Your Application, to:

  • Violate any applicable law, regulation, or third-party right;
  • Generate, distribute, or facilitate content that is harmful, abusive, harassing, hateful, sexually exploitative of minors, or otherwise unlawful;
  • Create misleading, deceptive, or impersonating media (including non-consensual deepfakes) or content that promotes animal cruelty;
  • Infringe copyrights, trademarks, publicity, privacy, or other proprietary rights;
  • Circumvent, disable, or interfere with rate limits, quotas, authentication, billing systems, content filters, or other safeguards;
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, model weights, training data, or trade secrets of the Service;
  • Use outputs of the API to train, fine-tune, or otherwise create competing AI models or datasets;
  • Resell, rent, sublicense, white-label, or otherwise commercially redistribute API access, credentials, or capacity without our prior written consent;
  • Generate automated, abusive, or excessive traffic, or conduct denial-of-service or load-testing activity without our prior written consent;
  • Scrape, crawl, or harvest data from the Service except as expressly permitted.

We may refuse, throttle, or terminate requests that we determine, in our reasonable judgment, violate this section.

5. Rate Limits and Usage Restrictions

We may impose rate limits, concurrency limits, payload size limits, quotas, and other technical restrictions on API usage. Limits may differ by plan and may be changed, lowered, or raised at any time without notice.

The API is provided on a best-efforts basis. We do not guarantee any specific level of availability, latency, or throughput unless expressly committed in a separate written service-level agreement signed by us.

6. Fees, Billing, and Usage Charges

Access to the API may be free, subscription-based, usage-based (for example, billed per request, per second of generated video, or per token), or a combination of these. Current pricing and metering rules are described on our website and may change from time to time.

You authorize us, or our payment processors, to charge the payment method on file for all fees and applicable taxes. Fees are non-refundable except where required by law. If a charge fails or any amount is overdue, we may suspend or terminate your API access and any remaining balances or credits may be forfeited.

7. Data Processing

We may log API requests, prompts, parameters, generated outputs, and metadata for the purposes of operating, securing, debugging, billing, abuse prevention, and improving the Service. Personal information is handled in accordance with our Privacy Policy.

You are responsible for ensuring that any personal information you transmit through the API has been collected and may be processed in compliance with applicable privacy and data protection laws (including, where applicable, PIPEDA, the GDPR, and the UK GDPR), and that any required notices and consents from your end users have been obtained.

8. Developer Responsibility for Your Application

You are solely responsible for Your Application, including its design, security, content, user interface, and downstream distribution of any AI-generated outputs. You must:

  • Comply with all applicable laws and regulations in every jurisdiction where Your Application is offered;
  • Provide your end users with appropriate terms of service and privacy notices;
  • Implement reasonable safeguards against misuse of the API by your end users; and
  • Promptly remediate violations of these API Terms by your end users.

We are not responsible for Your Application or for how third parties use AI-generated content produced through Your Application.

9. AI Output Disclaimer

The API uses generative AI models, which are inherently probabilistic. Outputs may be inaccurate, incomplete, biased, offensive, or unexpected, and may differ from one generation to the next even with identical inputs.

We make no representation or warranty as to the accuracy, reliability, quality, safety, or fitness for any particular purpose of any AI-generated output. Outputs are not professional advice of any kind (including legal, medical, financial, or veterinary advice) and must not be relied upon as such. You and your end users are responsible for reviewing and verifying outputs before using or publishing them.

10. Intellectual Property

All rights, title, and interest in and to the API, the Service, the underlying software, models, model weights, training data, documentation, and our trademarks and branding are and remain the exclusive property of Pawreel and its licensors. No ownership rights in any of the foregoing are transferred to you under these API Terms.

You agree not to extract, copy, or reconstruct our models or training data, and not to use the API to build datasets or models that compete with the Service. Subject to your compliance with these API Terms, you and your end users may use AI-generated outputs in accordance with any rights described in our Terms & Conditions.

11. Service Modifications and Availability

We are continuously improving the API. We may add, change, deprecate, restrict, or discontinue API endpoints, models, parameters, response formats, SDKs, or other features at any time. Where reasonably practicable for material breaking changes, we will provide advance notice through our documentation, changelog, or email.

Unless we have entered into a separate written service-level agreement with you, the API is provided without any uptime, latency, or performance guarantees.

12. Suspension and Termination

We may suspend or terminate your access to the API, in whole or in part, with or without notice, if we believe in good faith that:

  • You have violated these API Terms or any other agreement with us;
  • Your use poses a security, fraud, abuse, or stability risk to the Service or its users;
  • Continued provision of the API could expose us or others to legal liability;
  • Any amount owed to us is overdue; or
  • We are required to do so by law or by a competent authority.

You may stop using the API at any time. On termination, your license to use the API ends immediately and you must destroy all API credentials in your possession. Sections that by their nature should survive termination will continue to apply.

13. Disclaimer of Warranties

THE API AND ALL OUTPUTS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL WE OR OUR CONTRACTORS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE API OR THESE API TERMS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE API TERMS OR THE API WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US FOR API ACCESS IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100). NOTHING IN THESE API TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.

15. Indemnification

You agree to defend, indemnify, and hold harmless Pawreel and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) Your Application or your use of the API; (b) any content generated through your API credentials; (c) your violation of these API Terms or any law; (d) your infringement of any third-party right; or (e) any dispute between you and your end users.

16. Privacy and Data Protection

Our handling of personal information is described in our Privacy Policy, which is incorporated into these API Terms by reference. To the extent you transmit personal information through the API, you act as a controller (or equivalent) of that information and we act as a processor (or equivalent) only to the extent of operating the Service. You are responsible for the lawful basis, notice, and consent for collecting and transmitting that data.

17. Governing Law and Jurisdiction

These API Terms are governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. The courts located in Vancouver, British Columbia have exclusive jurisdiction over any dispute arising out of or relating to these API Terms or the API, and you consent to the personal jurisdiction of those courts. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

18. Changes to These API Terms

We may update these API Terms from time to time. When we make material changes, we will update the "Last updated" date and provide notice through the Service, our documentation, or email where appropriate. Your continued use of the API after the changes take effect constitutes acceptance of the updated API Terms. If you do not agree, you must stop using the API.

19. General

These API Terms, together with the Terms & Conditions and Privacy Policy, constitute the entire agreement between you and us regarding the API. If any provision is held unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce a provision is not a waiver. You may not assign these API Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
