Terms & Conditions

These Terms & Conditions ("Terms") form a binding agreement between you ("you" or "User") and Pawreel ("we", "us", or "our"), an independent online business based in British Columbia, Canada, that operates an AI software platform and API (the "Service") which enables users to generate short-form AI videos of animals ("animal shorts").

By accessing or using the Service — including by visiting our website, creating an account, or making API calls — you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not access or use the Service.

You must be at least 18 years old, or the age of legal majority in your jurisdiction (whichever is greater), to use the Service. By using the Service, you represent and warrant that you meet this requirement and that you have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

To access most features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration and keep it up to date;
• Keep your password and any API keys confidential and not share your account with others;
• Be responsible for all activity that occurs under your account; and
• Notify us immediately of any unauthorized access or suspected security breach.

We may refuse, suspend, or terminate accounts at our discretion, including where we believe an account has been used in violation of these Terms or applicable law.

The Service uses artificial intelligence to generate animal short videos and related media from text prompts and other inputs you provide. Access is available through our website interface and through our public API.

We are continuously developing the Service. Features, models, pricing, limits, and availability may change, be added, or be discontinued at any time without notice. We do not guarantee uninterrupted or error-free operation.

You agree not to use the Service to create, upload, share, or attempt to generate content that:

• Violates any applicable law, regulation, or third-party right;
• Is harmful, abusive, harassing, threatening, hateful, or promotes violence or self-harm;
• Is sexual content involving minors, or any content depicting child sexual abuse;
• Infringes copyrights, trademarks, publicity, privacy, or other proprietary rights;
• Depicts real, identifiable people or branded properties in misleading or defamatory ways;
• Constitutes misinformation, impersonation, deepfakes, or deceptive media intended to mislead viewers;
• Promotes animal cruelty or other unlawful treatment of animals.

You also agree not to:

• Reverse engineer, decompile, or attempt to extract the source code, models, or weights of the Service;
• Scrape, crawl, or otherwise harvest data from the Service except as expressly permitted;
• Bypass, disable, or interfere with rate limits, authentication, security features, or content filters;
• Use the Service to develop a competing product, or to train other AI models without our express written consent;
• Introduce malware, conduct denial-of-service attacks, or otherwise disrupt the Service or its users.

We may remove content and suspend or terminate access for any violation of this section.

"User Content" means the prompts, references, and other inputs you submit and the outputs generated for you through the Service. As between you and us, you retain ownership of your User Content, subject to the rights and licenses described below and to any rights of third parties.

You grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, transmit, and display User Content as necessary to operate, secure, support, and improve the Service. This license ends when you delete your User Content or close your account, except to the extent necessary to comply with legal obligations or for archived backups that are routinely overwritten.

You represent and warrant that you have all rights necessary to submit your User Content and that the Service's processing and generation of outputs based on your User Content does not violate any law or third-party right. You are solely responsible for the legality of your User Content and for how you use generated outputs.

The Service uses generative AI models, which are inherently probabilistic. Outputs may be inaccurate, incomplete, biased, offensive, or unexpected, and may differ from one generation to the next even with identical inputs.

We make no representation or warranty as to the accuracy, quality, suitability, or fitness for any particular purpose of any AI-generated output. Outputs are not professional advice of any kind (including legal, medical, financial, or veterinary advice) and must not be relied upon as such. You are responsible for reviewing and verifying outputs before using or publishing them.

All rights, title, and interest in and to the Service — including the website, software, APIs, models, documentation, designs, logos, names, and other branding — are and remain the exclusive property of Pawreel and its licensors. Except for the limited rights expressly granted to you in these Terms, no rights are granted by implication, estoppel, or otherwise.

You may not copy, modify, distribute, sell, license, sublicense, frame, mirror, or otherwise exploit any part of the Service without our prior written consent.

• You must keep your API keys confidential and treat them as sensitive credentials. You are responsible for all activity performed using your API keys.
• API access is subject to rate limits, quotas, and other technical restrictions, which we may change at any time.
• You may not resell, rent, white-label, or otherwise commercially redistribute API access without a separate written agreement with us.
• You must promptly comply with reasonable requests from us to address security, abuse, or compliance issues.
• We may throttle, suspend, or terminate API access if we detect abuse, excessive usage, security risks, or violations of these Terms.

Some features of the Service require payment. Pricing, plan limits, and features are described on our website and may change from time to time. Material changes that affect a paid plan you are currently subscribed to will take effect at the start of your next billing cycle.

Subscriptions automatically renew at the end of each billing period until cancelled. You may cancel at any time from your account settings; cancellation takes effect at the end of the current paid period. Unless required by law or stated otherwise at the point of sale, fees are non-refundable. Failure to pay any amount when due may result in suspension or termination of your account and forfeiture of remaining credits.

You are responsible for any taxes and third-party fees applicable to your purchase. Payments are processed by third-party payment providers; we do not store your full payment card details.

You may stop using the Service and delete your account at any time. We may suspend or terminate your access — in whole or in part, with or without notice — if we believe you have violated these Terms, applicable law, or our Acceptable Use policy, or if we are required to do so by law.

On termination, your right to access the Service ends immediately. Sections of these Terms that by their nature should survive termination (including ownership, disclaimers, limitations of liability, indemnification, and governing law) will continue to apply.

THE SERVICE AND ALL OUTPUTS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION.

Some jurisdictions do not allow the exclusion of certain warranties; in those jurisdictions, the above exclusions apply only to the maximum extent permitted by law.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL WE OR OUR CONTRACTORS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOOD WILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100). NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.

You agree to defend, indemnify, and hold harmless Pawreel and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your access to or use of the Service; (b) your User Content or the outputs you generate; (c) your violation of these Terms or any law; or (d) your violation of any third-party right.

Our collection, use, and disclosure of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you acknowledge that you have read the Privacy Policy.

These Terms are governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. The courts located in Vancouver, British Columbia have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and you consent to the personal jurisdiction of those courts.

The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date and provide notice through the Service or by email where appropriate. Your continued use of the Service after the changes take effect constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Service.

These Terms constitute the entire agreement between you and us regarding the Service and supersede any prior agreements. If any provision is held unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce a provision is not a waiver of our right to do so later. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
